Terms and Conditions

1. Introduction

Welcome to The Circle Editions’ Terms and Conditions of Use (these “Terms”). These Terms constitute a contract between you and The Circle Editions LLC (“we,” “us,” or “our”). By accessing, viewing, or using The Circle Editions website or mobile application (“The Circle Editions,” “TCE,” or the “App”), you agree to be legally bound by these Terms. Please read them carefully before using our services.

If you subscribe to services for a term (the “Initial Term”), your subscription will automatically renew for the same duration as the Initial Term at the then-current fee unless you cancel in accordance with Section 5.

Arbitration Notice

Section 13 contains an arbitration agreement that, with limited exceptions, requires disputes between us to be resolved through binding arbitration. This means:

• You may only pursue claims on an individual basis, not as part of a class action.

• You waive your right to a jury trial for claims subject to arbitration.

• You may opt out of the arbitration agreement by following the instructions in Section 13.

2. Eligibility and Account Rules

To use the App, you must:

• Be at least 18 years old or of legal age to enter a contract in your country of residence.

• Be legally permitted to use the App under the laws of your home country.

Account Registration

You may register an account (“Account”) manually or via a third-party login (e.g., Facebook). By doing so, you authorize us to access certain details from your third-party account. For more information on how we use your data, refer to our Privacy Policy.

Account Management

• You may not share or transfer your Account without our permission.

• To delete your Account, go to the Account page in the App and click “Delete Account.”

• If your Account is terminated due to violations of these Terms, you will not receive a refund for any paid services or features.

3. Types of Content

The App contains three types of content:

1. Your Content: Content you upload or provide.

2. Member Content: Content uploaded by other users.

3. Our Content: Content created and owned by The Circle Editions LLC.

Prohibited Content

You may not upload or share content that:

• Is offensive, abusive, obscene, or discriminatory.

• Promotes illegal activity or violates third-party rights.

• Contains malware, spam, or unauthorized commercial activity.

We reserve the right to remove any content that violates these Terms.

4. Subscriptions and Payments

Auto-Renewing Subscriptions

Subscriptions renew automatically unless canceled at least 24 hours before the end of the current period. Charges are billed to your Apple ID or Google Play account. Manage subscriptions through your account settings in the respective app store.

Basic Package ($14.99/month)

• 15 matches daily

• Priority profile visibility

• Reverse matches

• 10 Gentlemen Cards per month

Premium Package ($29.99/month)

• All Basic features plus:

• 30 matches daily

• Personalized recommendations

• 20 Gentlemen Cards per month

Refunds

Refunds are generally not available. For Apple subscriptions, visit Apple Support. For Google Play purchases, contact TCE customer support.

5. Virtual Items

Virtual items purchased through the App:

• Are licensed, not owned, by users.

• Cannot be transferred or refunded.

• May expire based on subscription terms.

6. Privacy Policy

Our Privacy Policy explains how we collect, use, and share your data. By using the App, you agree to the practices outlined in our Privacy Policy.

7. Termination

We may terminate your Account for violations of these Terms without notice or refund. If terminated, you lose access to all services and content associated with your Account.

8. Limitation of Liability

We are not liable for:

• Indirect, incidental, or consequential damages.

• Loss of data, profits, or goodwill.

Our liability is limited to $100 or the amount paid by you in the last 12 months, whichever is greater.

9. Dispute Resolution and Arbitration

Binding Arbitration

Disputes will be resolved through binding arbitration under the rules of ADR Services, Inc. or National Arbitration and Mediation, depending on your location.

Opt-Out Option

You may opt out of arbitration by notifying us at info@thecircleeditions.com within 31 days of first agreeing to these Terms.

Class Action Waiver

You agree to resolve disputes on an individual basis and waive the right to participate in any class action lawsuit.

10. Governing Law

These Terms are governed by the laws of the State of Delaware. Any disputes not subject to arbitration will be litigated in Delaware courts.
